1. Acceptance of these Terms

By downloading, installing, or using Flowy.keypad, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use it.

2. Who can use Flowy.keypad

You must be at least 18 years old to use Flowy.keypad. If you are using Flowy.keypad on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" includes that organization.

3. What Flowy.keypad is

Flowy.keypad turns an iPad or iPhone into a control surface for your Mac. It is made up of an iOS app and a companion macOS app that pair over your local network so that taps on your iPad can launch apps, switch browser tabs, open folders, trigger shortcuts, and run similar actions on your Mac.

The two apps communicate directly over your local network. Pairing requires both devices to be on the same network, and you may need to allow them through your firewall. We may add, change, or remove features at any time. Features labeled beta, preview, or experimental are provided as-is, may change without notice, and may not work reliably.

4. Permissions on your Mac

To send keystrokes and control other apps, the macOS app asks for system permissions such as Accessibility and Automation. You grant these permissions in macOS, you can review or revoke them at any time in System Settings, and you are responsible for the actions you trigger on your own devices through Flowy.keypad.

5. Acceptable use

You agree not to:

• Use Flowy.keypad for anything illegal or to infringe anyone's rights.
• Use it to access, control, or interfere with any device, account, or system you are not authorized to use.
• Distribute malware, phishing content, or anything designed to damage or gain unauthorized access to systems.
• Reverse engineer, decompile, or attempt to derive the source code of the apps (except where this restriction is prohibited by law).
• Circumvent or interfere with advertising, plan limits, license checks, or any security or access control.
• Resell, sublicense, rent, or otherwise redistribute the apps or access to them.
• Use automation enabled by Flowy.keypad to send spam or to take abusive, deceptive, or unauthorized actions in other apps or services.

We may limit access, disable features, or stop providing the apps to you if you violate this Section, and we may report illegal conduct to law enforcement.

6. Your configurations

The panels, keys, bookmarks, and shortcuts you set up ("Your Configurations") are yours. By design, Your Configurations are stored locally on your devices and exchanged directly between your paired iOS and macOS devices over your local network. We do not host Your Configurations on our servers, and we do not claim any ownership of them.

We do not train AI or machine-learning models on Your Configurations.

7. Free plan and ads

Flowy.keypad offers a free plan with no key limits. The free plan is supported by advertising, so you may see ads served by third-party advertising partners within the app. How those partners handle data, and the choices you have, are described in our Privacy Policy. We may change the features or limits of the free plan at any time, and we will give notice of material reductions before they take effect.

8. Pro plan and billing

Flowy.keypad offers a paid Pro plan that removes ads and unlocks additional features. Pro is sold as an in-app purchase through the Apple App Store. When you buy Pro, your purchase, payment, and any renewals are processed by Apple under Apple's terms, and your Pro entitlement is tied to your Apple ID. We never receive or store your payment card details.

If Pro is sold as an auto-renewing subscription, it renews automatically through your Apple ID at the then-current price until you cancel. Pricing, plan options, and any free trial are shown in the App Store at the time of purchase.

9. Cancellation and refunds

You manage and cancel a Pro subscription in your Apple ID settings, not through us. Cancellation takes effect at the end of your current billing period, and you keep Pro access until then.

Because Apple processes App Store purchases, refunds are handled by Apple under Apple's policies. We generally cannot issue refunds for purchases made through the App Store.

10. Our intellectual property

The Flowy.keypad software, website, logos, trademarks, and all other materials we provide (other than Your Configurations) are owned by Flowy Labs or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable license to use them solely to use Flowy.keypad as permitted by these Terms and by Apple's Usage Rules.

11. Feedback

If you send us feedback, suggestions, or ideas about Flowy.keypad, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, without any obligation to you.

12. Third-party services and Apple

Flowy.keypad relies on third-party services, including the Apple App Store, Apple's operating systems, advertising partners, and cloud hosting providers. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

These Terms are between you and Flowy Labs only, not with Apple. Apple is not responsible for Flowy.keypad or its content and has no obligation to provide any support for it. To the extent the iOS app is obtained through the App Store, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You also agree to comply with the Apple Media Services Terms and Conditions and the App Store Usage Rules.

13. Termination

You can stop using Flowy.keypad at any time by uninstalling the apps. We may suspend or stop providing Flowy.keypad to you if you violate these Terms, if we are required to by law, or if we discontinue the product. On termination, your right to use Flowy.keypad ends. Sections 10 (Our IP), 11 (Feedback), 13 through 20, and any other sections that by their nature should survive, will survive termination.

14. Disclaimers

Flowy.keypad is provided "as is" and "as available", without warranty of any kind, express or implied. To the maximum extent permitted by law, Flowy Labs disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the apps will be uninterrupted, error-free, secure, or meet your requirements.

15. Limitation of liability

To the maximum extent permitted by law, Flowy Labs will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or use, arising out of or in connection with Flowy.keypad or these Terms, whether based in contract, tort, or any other legal theory, and even if we have been advised of the possibility of those damages.

Our total cumulative liability for all claims relating to Flowy.keypad or these Terms is limited to the greater of (a) the amount you paid to Flowy Labs (or to Apple for Flowy.keypad) in the twelve (12) months before the event that gave rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions don't allow some of these limitations, so parts of this section may not apply to you.

16. Arbitration and class-action waiver

Please read this section carefully. It affects your legal rights.

You and Flowy Labs agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or Flowy.keypad by binding individual arbitration administered by JAMS under its then-current streamlined arbitration rules. The arbitration will be held in Los Angeles, California, or conducted remotely at the arbitrator's discretion. The arbitrator's decision is final and may be entered as a judgment in any court.

Class-action waiver. You and Flowy Labs agree that each of us may bring claims against the other only on an individual basis, and not as part of any class, collective, or representative action. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

30-day opt-out. You can opt out of this arbitration agreement within 30 days after first accepting these Terms by emailing team@flowylabs.ai with your name and a clear statement that you opt out of arbitration. If you opt out, Section 17 (Governing law) still applies.

Exceptions. Either party may bring a claim in small-claims court instead of arbitration, and either party may seek injunctive or equitable relief in court to protect intellectual property rights.

17. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. For any dispute not subject to arbitration, you and Flowy Labs agree to the exclusive jurisdiction of the state and federal courts located in Orange County, California.

18. Indemnification

You agree to indemnify, defend, and hold harmless Flowy Labs and its officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of (a) Your Configurations, (b) your use of Flowy.keypad, (c) your violation of these Terms, or (d) your violation of any third party's rights.

19. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we'll notify you in-product or on our website before they take effect. Your continued use of Flowy.keypad after the effective date means you accept the updated Terms.

20. Miscellaneous

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Flowy Labs about Flowy.keypad.
• Severability. If any part of these Terms is unenforceable, the rest still applies.
• No waiver. Our failure to enforce any part of these Terms isn't a waiver of our right to do so later.
• Assignment. You can't assign these Terms without our consent. We can assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. Neither party is liable for delays caused by events outside its reasonable control.
• Notices. We'll send notices in-product or to any email you have given us. You can send notices to team@flowylabs.ai.
• Relationship. These Terms do not create any agency, partnership, joint venture, or employment relationship.
